OVERVIEW OF THE POSITION:
The Contracts Associate is responsible for supporting the global legal function by drafting, reviewing, and negotiating a range of client and supplier agreements, ensuring alignment with commercial objectives and appropriate risk management. The role provides dedicated legal support to key business functions, working closely with stakeholders across sales, operations, and procurement to facilitate efficient and effective contracting processes. Operating with a high degree of autonomy, the postholder will contribute to the continuous improvement and standardisation of contracting practices, supporting a business that is scaling for future growth. The role also involves regular engagement with senior leadership, offering input and insight to help shape and optimise contractual frameworks and processes.

ESSENTIAL DUTIES AND RESPONSIBILITIES:

  • Draft, review, and negotiate a range of client & Supplier agreements, including: Master Services Agreements (MSAs); Statements of Work (SOWs); Framework agreements and commercial terms; Data Processing Agreements (DPAs) and GDPR-related provisions; and flow-down obligations from client contracts to Supplier agreements
  • Support contracting related to Vendor Management Systems (VMS) and associated workforce solution structures
  • Identify legal and commercial risks and provide clear, pragmatic advice
  • Operate within established risk thresholds, policies, and playbooks
  • Escalate non-standard or high-risk contractual issues to the Global General Counsel
  • Contribute to refining risk position standards and fallback language
  • Contribute to the development and enhancement of:
    • Contract templates
    • Clause libraries
    • Negotiation playbooks
  • Support the legal team in transitioning toward more structured contract management processes (Note: The organisation does not currently operate a CLM system; this role offers the opportunity to help shape future tools and processes in this area)
  • Perform other duties and special projects as assigned.

JOB EXPERIENCE REQUIREMENT:

  • Solid experience in commercial contract drafting and negotiation (in-house or private practice)
  • Strong understanding of:
    • Contract structures
    • Risk allocation
    • Commercial drivers
  • Ability to work independently in a remote, international environment
  • Excellent communication skills with the ability to engage non-legal stakeholders

Desirable Experience

  • Experience within Managed Service Provider (MSP), staffing, workforce solutions, or outsourcing environments
  • Familiarity with:
    • VMS platforms and contingent workforce models
    • Supplier cascade structures and pass-through liabilities
  • Experience operating in high-volume contracting environments

EDUCATION REQUIREMENT:
Law degree (LLB or equivalent) or relevant legal qualification

LANGUAGE/COMMUNICATION SKILLS (written & verbal):
Ability to read, analyze, and interpret general business periodicals, professional journals, technical procedures, or governmental regulations. Ability to write reports, business correspondence, and procedural manuals. Ability to present information effectively and to respond to questions from groups of managers, clients, customers, and the general public.

COMPUTER/SYSTEM SKILLS REQUIREMENTS:
Working knowledge of computers including Windows environments, email, and the internet. Proficiency with MS Office applications including Excel, Word, PowerPoint, Outlook, Project and Visio. Ability to quickly learn proprietary technology.

Minimal (>10%)

PHYSICAL DEMANDS:
Office or home office based role with associated lifting of minimal equipment, sitting / standing, repetitive actions.
